KARLENE ERIKA C. LIAO is a Junior Associate and a member of the Corporate, Technology Media and Telecommunications, and Tax Departments.

Karlene’s practice includes providing general corporate services and advice, corporate restructuring, and assisting companies with their regulatory compliance, including advice involving various cryptocurrency- and token-related activities under securities law. She handles mergers and acquisitions, commercial transactions, and legal due diligence. Aside from corporate practice, she handles tax audits, estate settlements, and other tax-related transactions.

Prior to joining the Firm and taking up her Juris Doctor (J.D.), Karlene was a Senior Associate at SyCip Gorres Velayo & Co., a Philippine member firm of Ernst & Young Global Limited, where she handled tax compliance and complex tax transactions.

A member of the Philippine Bar since 2022, Karlene received her J.D. from De La Salle University – The Tañada -Diokno College of Law. She holds a Bachelor of Science in Accountancy (BSA) from De La Salle University. She passed the board exam for Certified Public Accountants in 2014.

Karlene’s recent transactions include:

• Conducting legal due diligence for mergers and acquisitions;
• Assisting in corporate restructuring transactions;
• Assisting clients in securing necessary regulatory permits, licenses, and tax clearances for various transactions;
• Reviewing various contracts for corporate clients;
• Assisting corporations with their legal and regulatory compliance requirements;
• Providing legal advice and proposing efficient structures to foreign entities that plan to invest or set up business in the Philippines;
• Representing clients before the Bureau of Internal Revenue and other regulatory bodies;
• Assisting clients with their tax audits; and
• Assisting clients with estate settlements.
