KRISTINE T. TORRES is a Partner of the Firm, and Head of Project Finance and ESG. She is also a member of the Corporate and Technology Media and Telecommunications practice groups.

Kristine specializes in corporate and business law, mergers and acquisitions, technology media & telecommunications, capital markets, banking, finance, securities law, project finance and ESG. She led a number of complex and significant mergers and acquisitions of highly regulated companies, involving private and/or publicly-listed companies, and capital markets transactions, and regularly advises clients on the entry of foreign investments to the Philippines, establishment of domestic corporation and other corporate vehicles, application for primary and secondary licenses with the Securities and Exchange Commission, Bangko Sentral ng Pilipinas, Insurance Commission and other government agencies, cross-border and commercial transactions, joint ventures, corporate structuring, securities offerings, legal and regulatory compliance, tech licensing agreements, equity and debt capital raising transactions, PPPs and project finance deals.

Kristine was named as Young Lawyer of the Year at 2023 ALB Philippine Law Awards. She was featured as one of Asia’s 40 Under 40 lawyers by the Asian Legal Business. Kristine was recognized by The Legal 500 as Next Generation Partner in TMT, and as Recommended Lawyer in Corporate and M&A, Banking and Finance, Projects and Energy, and Capital Markets. Kristine was also cited by IFLR1000 as Rising Star Partner in M&A.

Kristine handled significant transactions where she:
• acted as transaction counsel for issuers and underwriters in the Philippines in connection with initial public offerings and capital markets transactions.
• acted as legal counsel for sellers and buyers in various mergers and acquisitions, and asset purchase transactions.
• advised clients on the legal, regulatory, and licensing requirements for money service business, electronic money issuer, virtual currency exchange, merchant acquirer license, and other license applications with the Bangko Sentral ng Pilipinas.
• advised clients on the legal, regulatory, and licensing requirements for companies regulated by the Securities and Exchange Commission.
• assisted clients in intellectual property acquisition and tech licensing transactions.
• acted as Philippine counsel in various corporate and commercial transactions such as the formation of joint ventures, foreign investments, cross-border transactions, project development, and infrastructure projects.
