MICAELA KRISTINA V. GALVEZ is a Partner of the Firm. She is part of the Firm’s Intellectual Property Group, Corporate Group and Technology Media and Telecommunication Group of the Firm. She has extensive experience in securities offerings, mergers and acquisitions, transactional advisory, and legal due diligence. Her expertise extends to structuring transactions, tax planning, drafting and negotiating transaction documents, managing cross-border transactions, and facilitating share transfer deals. Mica also assists clients in regulatory compliance for publicly listed companies. She provides valuable assistance to clients in securing secondary licenses from the Securities and Exchange Commission, and guides clients through the process of license applications with the Bangko Sentral ng Pilipinas.

Mica earned her BS Management degree Major in Legal Management from Ateneo de Manila University in 2010 and her Bachelor of Laws degree from San Beda University in Manila in 2014. She was admitted to the Philippine Bar in 2015 and further enhanced her skills by completing the 6th diploma program in Corporate Finance at the Ateneo Graduate School of Business Center for Continuing Education.

• Representing and advising corporations on fundraising and equity transactions, including representing them before the Philippine Competition Commission

• Conducting legal due diligence, corporate structuring for acquisition transactions, drafting definitive agreements, and securing necessary regulatory permits, licenses, and tax clearances for acquisitions

• Assisting corporations with regulatory compliances, including preparation of disclosures for listed companies and audit compliances for non-bank financial institutions

• Providing legal advice and proposing efficient structures for foreign entities planning to invest or establish businesses in the Philippines

• Preparing and processing license applications for bank and non-bank financial institutions before the Bangko Sentral ng Pilipinas

• Representing clients before the Securities and Exchange Commission, Bureau of Internal Revenue, and Intellectual Property Office
