VICTOR KENNER “Ken” S. GALANG is a Junior Associate and a member of the Mergers and Acquisitions, Corporate Services, Technology Media & Telecommunications, and Energy departments of the Firm.

Ken’s practice includes advising and assisting clients on various commercial matters involving mergers and acquisitions, joint venture partnerships, and private placements, among others. He provides corporate and commercial advisory services such as capital restructuring, drafting and review of commercial agreements (e.g., customer-facing agreements, agreements involving digital assets), and incorporation and post-incorporation matters. He is also involved in several licensing and regulatory compliance applications before the Bangko Sentral ng Pilipinas, Securities and Exchange Commission, and the Department of Information and Communications Technology.

Ken is a member of the Philippine Bar since 2022 and passed the 2020/2021 Philippine Bar Examinations with Exemplary Performance.

Ken received his Juris Doctor (J.D.) from San Beda University – College of Law (Mendiola, Manila), and graduated as top 8^th of his batch. During his legal studies, Ken was a member of the San Beda University – Central Board Operations (Academic Committee), and the San Beda Legal Aid Bureau.

Ken holds a Bachelor of Arts and Science in Legal Management from San Beda University – College of Arts and Sciences. He was ranked number one (1) in the Top Ten Outstanding Students of San Beda for the year 2016 and was awarded the Abbot Chancellor Award during the same year. Ken is a member of the Ayala Young Leaders Alumni Association.

Ken’s recent transactions include the following:

• Assisted in handling mergers and acquisitions transactions including acquisitions of rural banks by several FinTech companies; merger of competing private aviation companies; acquisition of a lending company with an Online Lending Platform by an offshore entity;
• Provided corporate law advisory services such as capital restructuring, incorporation and post-incorporation matters, reportorial compliance matters, and private placement transactions which involve the drafting of a legal opinion and review of prospectus;
• Assisted in handling TMT matters, such as review and drafting of commercial contracts, including customer-facing agreements (e.g., terms and conditions, terms of service, privacy policy), commercial agreements; and drafting and review of contracts involving digital assets;
• Assisted in handling litigation matters such as annulment cases, settlements of estate, applications for judicial citizenship, and enforcement of the right to inspect corporate books and records under the Revised Corporation Code;
• Assisted in handling labor matters, such as review of employment contracts, drafting of court submissions relating to an illegal dismissal case; and responding to day-to-day labor concerns of clients; and,
• Assisted in handling tax matters involving a VAT Refund application of two Renewable Energy Corporations in the Philippines
• Assisted in handling Data Privacy matters including registration and compliance before the National Privacy Commission (NPC).
